These Terms and Conditions ("Terms") govern your use of the services provided by Answering Now LLC ("Answering Now," "we," "us," or "our"), including the AI-powered phone answering service, the website at answering.now, and all related communications. By subscribing to our service, using our website, or calling our phone lines, you agree to these Terms.

1. Service Description

Answering Now provides AI-powered phone answering for businesses. We build and manage a dedicated AI voice agent trained on your business information. The agent answers inbound calls to your designated phone number, captures caller details (name, phone number, reason for calling), and delivers call summaries to you via text message and email.

Our service is designed for business use. It is not intended for personal, consumer, or emergency services applications.

2. Eligibility

You must be at least 18 years old and authorized to enter into binding agreements on behalf of the business subscribing to the service. By subscribing, you represent that you have the authority to bind the subscribing business to these Terms.

3. Subscription Plans and Pricing

Answering Now offers subscription tiers starting at $79/month (Starter), $149/month (Professional), $279/month (Business), and $549/month (Enterprise). Additional plans may be available. Current pricing and plan details are published at answering.now.

Subscriptions are billed monthly through Stripe. Your payment method will be charged automatically on each billing cycle. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial months.

We reserve the right to change pricing with 30 days written notice to active subscribers. Price changes do not apply retroactively to the current billing period.

4. Free Trial

The Starter plan includes a 14-day free trial with 100 minutes of call time included. A valid credit card is required to start the trial. Your first monthly subscription charge does not occur until day 15 of the trial. If your usage exceeds 100 minutes during the trial period, overage minutes are billed at the Starter plan overage rate on day 15. If you cancel before the trial ends and have not exceeded 100 minutes, you will not be charged. If you do not cancel before the trial ends, your payment method will be charged the standard monthly rate beginning on day 15.

5. Overage Charges

Each subscription plan includes a specified number of call minutes per month. If your usage exceeds the included minutes, overage charges apply at the per-minute rate for your plan: Starter at $0.35/minute, Professional at $0.30/minute, Business at $0.25/minute, and Enterprise at $0.20/minute. Overage charges are billed at the end of each billing cycle. These rates also apply to trial usage exceeding the included trial minutes.

6. Client Responsibilities

As a subscribing client, you agree to provide accurate and current business information for AI agent training, notify us of changes to your business information, hours, services, or call handling preferences, ensure that your use of the service complies with all applicable laws and regulations, and refrain from using the service for any unlawful, fraudulent, or deceptive purpose.

You are responsible for informing your own customers, where required by law, that calls may be answered by an AI agent. We provide recommended disclosure language upon request.

7. AI Agent Limitations

Our AI agents are trained on the business information you provide. While we work to deliver accurate and professional call handling, AI technology has inherent limitations. We do not guarantee that every call will be handled without error. The AI agent is not a substitute for licensed professional advice in fields such as medicine, law, or emergency services.

We are not liable for business decisions made based on information captured or relayed by the AI agent. You should verify caller information independently before taking action on time-sensitive or high-value matters.

8. Acceptable Use

You agree not to use the Answering Now service to conduct or facilitate illegal activity, transmit threatening, harassing, or abusive content, misrepresent your identity or business, interfere with the operation of our systems or infrastructure, resell or redistribute the service without our written permission, or use the service to collect information for unsolicited marketing to callers.

We reserve the right to suspend or terminate your account if we determine, at our sole discretion, that you have violated these Terms or are using the service in a manner that could harm our business, our systems, or other users.

9. Intellectual Property

All content on the answering.now website, including text, graphics, logos, and software, is the property of Answering Now LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without written permission.

The AI agent prompts and configurations we build for your business remain the intellectual property of Answering Now LLC. You receive a license to use the agent as part of your active subscription. This license terminates when your subscription ends.

10. Data and Privacy

Our collection, use, and handling of personal information is governed by our Privacy Policy. By using our service, you agree to the data practices described in that policy.

We share caller information (name, phone number, reason for calling) with you as the subscribing business. You are responsible for handling that information in compliance with your own privacy obligations and applicable laws.

11. Service Availability

We strive to maintain continuous service availability. However, we do not guarantee uninterrupted access. Service interruptions may occur due to scheduled maintenance (we will provide advance notice when possible), unplanned outages in our infrastructure or third-party services, force majeure events beyond our reasonable control, or telecommunications network issues.

We are not liable for lost calls, missed leads, or business losses resulting from service interruptions.

12. Limitation of Liability

To the maximum extent permitted by law, Answering Now LLC, its owner, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including lost profits, lost business opportunities, or data loss.

Our total liability for any claim arising from or related to the service shall not exceed the amount you paid to Answering Now during the three months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Answering Now LLC, its owner, and its service providers from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the service, your violation of these Terms, your violation of any applicable law, or any dispute between you and a caller or third party.

14. Termination

Either party may terminate the service relationship at any time. You may cancel your subscription through your Stripe billing portal or by contacting us at wayne@answering.now. We may terminate your account with 30 days written notice, or immediately if you violate these Terms.

Upon termination, we will retain your call data for 90 days, after which it will be deleted unless you request earlier deletion or unless we are required by law to retain it longer.

15. Dispute Resolution

Any disputes arising from these Terms or the service shall be resolved through good-faith negotiation between the parties. If negotiation does not resolve the dispute within 30 days, either party may pursue resolution through the courts of the State of Iowa, Boone County. You agree to submit to the personal jurisdiction of those courts.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Iowa, without regard to conflict of law principles.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Answering Now LLC regarding the service. They supersede all prior agreements, representations, and understandings.

19. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Effective date" at the top of this page and notify active subscribers by email. Continued use of the service after changes are posted constitutes acceptance of the updated Terms.
